In an effort to strengthen Barbados??? corporate regulatory framework, Government has amended several enactments of the Corporate Services (Miscellaneous Provisions) Act, 2014, which are administered through the department of Corporate Affairs and Intellectual Property.

The changes, which have taken effect, will see several amendments to the Companies Act, Cap. 308.

These amendments concern the Filing of Annual Returns in respect of domestic companies; Information to be maintained at Registered Office; Penalties for non-compliance with record keeping requirements; Registering of external companies; and Time Limits for Filing Notice of Fundamental Changes.

Legislation governing the General administration of external companies; Dissolution of companies; Appointment of a Liquidator; Persons authorised to issue certificates; Refusal of Articles under Section 417; Penalty Provisions; and Company Offences was also amended.

Additional amendments include the Companies Regulations, 1984; Corporate Affairs and Intellectual Property Office Act, Cap. 21A; Evidence Act, Cap. 121; Property Transfer Tax Act, Cap. 84A; Registration of Business Names Act, Cap. 317; Business Names Rules, 1940; and Societies with Restricted Liabilities Act, Cap. 318B.
